Warranties. EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, NEITHER PARTY MAKES OR RECEIVES ANY WARRANTY, EXPRESS OR IMPLIED, WITH RESPECT TO THE SERVICES PROVIDED, OR TO BE PROVIDED, UNDER THIS AGREEMENT AND THE PARTIES DISCLAIM ANY OTHER WARRANTIES, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE WARRANTIES AGAINST INFRINGEMENT, AND WARRANTIES ARISING BY TRADE CUSTOM, TRADE USAGE, COURSE OF DEALING OR PERFORMANCE, OR OTHERWISE.
Warranties. (a) TO THE EXTENT PERMITTED BY LAW, THE SUPPLIER, ITS AFFILIATES AND THEIR RESPECTIVE THIRD-PARTY PROVIDERS HEREBY EXPRESSLY DISCLAIM ANY AND ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, WITH RESPECT TO THE SERVICES, PERFORMANCE THEREOF OR ANY MATERIALS PROVIDED UNDER THIS AGREEMENT, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, QUALITY, COMPLETENESS OR FITNESS FOR A PARTICULAR PURPOSE, THE INFORMATION, DATA, SOFTWARE, APPLICATIONS OR PRODUCTS CONTAINED THEREIN OR THE RESULTS OBTAINED BY THEIR USE, COMPLIANCE WITH RULES OR REGULATIONS, NON- INFRINGEMENT AND TITLE, SEQUENCING, TIMELINESS, ACCURACY OR COMPLETENESS OF INFORMATION, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING, USAGE OR TRADE PRACTICE.
Warranties. 5.11.1 EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE PARTIES AGREE THAT NEITHER PARTY HAS MADE, AND THAT THERE DOES NOT EXIST, ANY WARRANTY, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND THAT ALL PRODUCTS AND SERVICES PROVIDED HEREUNDER ARE PROVIDED "AS IS," WITH ALL FAULTS.
Warranties. The Assignor warrants and undertakes that, as at the date of this Agreement:
Warranties. If, prior to the Accounting Agent’s calculation of the current NAV, the Trust or its third-party agent notifies the Accounting Agent that any of its accounting services are erroneous in any material respect, the Accounting Agent shall endeavor in a timely manner to correct such failure. Third-parties that are selected by and approved by the Trust and from which the Accounting Agent may obtain certain data included in the accounting services are solely responsible for the contents of such data and the Trust agrees to make no claim against the Accounting Agent arising out of the contents of such third-party data including, but not limited to, the accuracy thereof.
Warranties. Supplier warrants that all software, Services, and Products will (i) be manufactured, processed, and assembled by Supplier or its authorized subcontractors; (ii) be free from malware, known security vulnerabilities, defects in design, material and workmanship; (iii) conform to specifications, including DXC’s General Specification for the Environment and any requirements and certifications regarding any rules, regulations or laws pursuant to the return of hazardous material; (iv) be new and contain first-quality components and parts;
Warranties a. The Investor(s) makes the following representations and warranties to Escrow Agent:
Warranties. Author agrees, at the request of Publisher, to execute all documents and do all things reasonably required by Publisher in order to confer to Publisher all rights intended to be granted under this Agreement. Author warrants that the Contribution is original except for such excerpts from copyrighted works (including illustrations, tables, animations and text quotations) as may be included with the permission of the copyright holder thereof, in which case(s) Author is required to obtain written permission to the extent necessary and to indicate the precise sources of the excerpts in the manuscript. Author is also requested to store the signed permission forms and to make them available to Publisher if required. Author warrants that Author is entitled to grant the rights in accordance with Clause 1 “Rights Granted”, that Author has not assigned such rights to third parties, that the Contribution has not heretofore been published in whole or in part, that the Contribution contains no libellous or defamatory statements and does not infringe on any copyright, trademark, patent, statutory right or proprietary right of others, including rights obtained through licences; and that Author will indemnify Publisher against any costs, expenses or damages for which Publisher may become liable as a result of any claim which, if true, would constitute a breach by Author of any of Author’s representations or warranties in this Agreement. Author agrees to amend the Contribution to remove any potential obscenity, defamation, libel, malicious falsehood or otherwise unlawful part(s) identified at any time. Any such removal or alteration shall not affect the warranty and indemnity given by Author in this Agreement.
Warranties. 10.1 SAMRO warrants that it has the necessary approvals, licences and authorities to grant the Licence. XXXXX, authorised by written deeds of assignment, controls in the Territory, amongst others, the performing rights in the Works of Music of its Members and of the Members of the Affiliated Societies.
